Terms of Service

These Terms of Service (“Terms”) govern your use of Chief.Staff (the “Service”), provided by Newtonian Consulting LLC (“we,” “us,” or “our”). By redeeming an invite or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Chief.Staff is a hosted, single-user AI executive assistant delivered through Claude.ai using the Model Context Protocol (MCP). After redeeming an invite, you connect your Google account and optionally other services so the assistant can read your calendar, email, tasks, and files and provide a daily brief, manage habits, and act on your behalf.

2. Beta status
The Service is currently in closed beta. By using the Service you acknowledge that:
- Features may change, break, or be removed without notice.
- Service availability is not guaranteed; downtime may occur without warning.
- Beta users are testing pre-release software and should not rely on the Service for any business- or safety-critical workflow.
- The Service is provided “as is” without warranty of any kind, express or implied.
3. Eligibility and accounts
- You must be at least 18 years old to use the Service.
- You must redeem a valid invite. We may decline or revoke an invite at our sole discretion.
- You are responsible for keeping your invite code, OAuth grants, and connector credentials secure.
- You may not share your account, transfer your invite, or impersonate another person.
- One person, one account.
4. Connected services
By connecting Google, Microsoft 365, or any other third-party account, you grant us permission to read and (where you have explicitly granted write scope) modify data in those accounts on your behalf, solely to provide the Service.
- You can revoke access at any time via the third-party provider’s account settings (e.g., Google Account > Security > Third-party access).
- Each third-party provider has its own terms and privacy policy. You are responsible for complying with those.
- If you connect an employer-owned account (e.g., a work Google Workspace or Microsoft 365 account), you represent that you have authority to do so under your employer’s policies.
5. AI-generated content
The Service uses AI (large language models, primarily Anthropic’s Claude) to generate summaries, drafts, recommendations, and other outputs.
- AI outputs may be inaccurate, incomplete, biased, or otherwise unsuitable for your situation.
- You are solely responsible for reviewing AI-generated content and verifying its accuracy before acting on it, sending it, or relying on it.
- The Service does not make legally significant automated decisions about you. AI outputs are suggestions, not commands.
- We are not liable for any consequence of acting on AI-generated content, including loss of business, reputational harm, financial loss, or wrong information sent to third parties.
6. Acceptable use
You agree not to use the Service to:
- Send unsolicited communications (spam), harass others, or violate the rights of any person.
- Process data you do not have lawful authority to access.
- Reverse-engineer, scrape, or attempt to extract our system prompts, model weights, or training data.
- Use the Service in a manner that exceeds reasonable rate limits, disrupts the Service, or imposes a disproportionate load on our infrastructure.
- Build a competing service using the Service’s outputs.
- Use the Service in violation of any applicable law (US, state, or otherwise).
- Use the Service in violation of Anthropic’s, Google’s, or any other connected provider’s acceptable use policies.
We may suspend or terminate your account for any violation of this section.
7. Pricing and billing
Plans, pricing tiers, included Claude API allowance, and overage rates are described at the time of signup. During the closed beta, some users may be on no-cost or cost-pass-through plans at our discretion.
- Paid plans, if you are on one, are billed monthly via Stripe.
- Allowance overages are billed in addition to the monthly base where applicable.
- We may adjust pricing with at least 30 days’ notice. Continued use after a price change constitutes acceptance.
- Refunds are not provided for partial months.
- If a payment fails, we may suspend the Service until payment is resolved.
8. Intellectual property
- Your content: you retain all ownership and intellectual-property rights in the data you provide or that we read on your behalf from connected services. You grant us a limited license to process that data only as necessary to provide the Service.
- AI outputs: as between you and us, you own the AI-generated content produced for you, subject to (a) Anthropic’s underlying terms and (b) your responsibility for verifying that the output does not infringe a third party’s rights.
- The Service itself: all rights in the Service, including software, design, and trademarks, are reserved to us.
9. Termination
- You may terminate your account at any time by emailing info@newtoniannuggets.com.
- We may terminate or suspend your account at our discretion, including for violation of these Terms or extended inactivity.
- Upon termination, your data is deleted within 30 days (see Privacy Policy section 6). You should export anything you want to keep before terminating.
- Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, governing law) survive.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING ANY RELIANCE ON AI-GENERATED CONTENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED US DOLLARS ($100).
12. Indemnification
You agree to defend, indemnify, and hold harmless Newtonian Consulting LLC and its officers, employees, and agents from any claim, demand, or damage arising out of (a) your use of the Service, (b) your violation of these Terms, (c) your violation of a third party’s rights, or (d) any content you submit to the Service.
13. Changes to these Terms
We may update these Terms from time to time. The updated version will be indicated by a new “Last updated” date. Material changes will be communicated by email or through the Service. Your continued use after the update constitutes acceptance of the revised Terms.
14. Governing law and disputes
These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Buncombe County, North Carolina, and you consent to personal jurisdiction there.
15. Miscellaneous
- These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
- If any provision is held unenforceable, the remaining provisions remain in effect.
- Our failure to enforce any provision is not a waiver of that provision.
- You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
